The specific scope, deliverables, timeline, and fees for any Services engagement will be detailed in separate written agreements between you and NxtWaves AI. These Terms apply in addition to any such engagement-specific agreements. We reserve the right to modify, suspend, or discontinue any Services or features of our Site at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of our Services or Site features.

3. Intellectual Property Rights

Your use of third-party services and content is at your own risk and subject to their respective terms and conditions.

7. Limitation of Liability

7.1 LIMITATION To the fullest extent permitted by applicable law, NxtWaves AI and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for lost profits, loss of revenue, loss of data, lost business opportunity, or other intangible losses, even if we have been advised of the possibility of such damages. 7.2 CAP ON LIABILITY Except as provided by law and notwithstanding anything to the contrary in these Terms, the total liability of NxtWaves AI to you for any claim arising from or relating to these Terms, our Site, or our Services shall not exceed the total amount paid by you to NxtWaves AI in the twelve months preceding the claim, or if no amount has been paid, $100. 7.3 ESSENTIAL TERM You acknowledge that these liability limitations are essential terms upon which NxtWaves AI has relied in offering our Services at the prices and on the terms provided.

8. Indemnification

You agree to indemnify, defend, and hold harmless NxtWaves AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:
  • Your use of our Site or Services in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your User Content or any content you submit or share
  • Your infringement of any third-party intellectual property rights
  • Your conduct that causes harm to others or violates their rights

9. Governing Law and Jurisdiction

The failure of NxtWaves AI to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision, nor shall it be deemed to waive the right to enforce such right or provision in the future.
